Overview

The Corporate Development Manager 2, M&A will work within and lead cross functional teams on acquisition, investment, distribution, and divestiture opportunities, supporting negotiation, due diligence, & integration activities. The individual will lead and collaborate across functional and regional boundaries to deliver solutions that grow long term revenue and advance the strategic goals of Cook Medical.

Responsibilities

• Lead elements of Corporate Development initiatives, such as valuation, target & structure, due diligence, negotiation, closing, and integration. Establishes project plans for certain elements and provides measurable in
• Supports the development and evaluation of strategic opportunities including valuations, making go/no-go recommendations, and proposing deal structures. Provide feedback on product roadmaps and strategic roadmaps to assist in buy vs. build analysis.
• Execute and lead deal assessment, valuation, structuring, negotiation, due diligence, and integration efforts within proposed timelines.
• Implement execution of special projects assigned to Corporate Development from Cook executive management.
• Develop and implement Corporate Development processes based upon best practices. Lead other projects (e.g., tracking of prior investments, post-deal management, etc.) to enhance the group's connectivity with organization.

• Lead the preparation of agreements and support negotiations. Apply sound business judgment to routinely make recommendations on transaction terms.
• Coordinate formal due diligence, identifying and cross-functionally resolving key issues, and mitigating identified risks.
• Develop and present consistent and concise presentations and financial analyses to senior management and executive leadership across the organization. Support communication with external parties. Support outreach activities to potential targets with senior management.
• Foster and maintain a workplace culture respectful and supportive of individual differences in an orderly, sanitary, & safe working environment.
• Mentors and coaches ICs in other Cook functions on aspects of business plan development and project execution.

Qualifications

• 10 years of relevant experience with a minimum of 2 years of relevant experience in corporate development, investment banking, venture capital
• Awareness of MedTech developments and trends that impact areas of Cook Medical’s device business. Understanding of how the Cook Divisions conduct business and of their pipeline objectives.

• Works effectively across Cook departments or specialties to meet transaction team goals.

 

Physical Requirements:

• Personal protective equipment including safety glasses, lab coat and gloves required in some areas associated with this position
• Sitting for extended periods, utilizes close visual acuity for working with computers, etc
• Works under general office environmental conditions

• Moderate exposure to noise level in the work environment that is moderate to occasionally loud
